Dr. El Borai is admitted to practice law in Egypt and in the State of New York. Dr. El Borai advises on various aspects of commercial, corporate, banking and finance law and he has been involved in negotiating, drafting and reviewing diverse banking and finance related agreements, covering a wide array of operations such as Project Finance, Asset-backed Finance, Islamic Finance, Capital Leasing, Derivative Transactions (ISDA), Loan Syndications and Risk-Participation Agreements. In addition to customary commercial banking transactions, Dr. El Borai has cumulated solid expertise in investment banking transactions which, among other operations, include Initial public Offerings, Private Placements and Debt Raising exercises along with the foundational and structural work these transactions may implicate, such as Engagement Letters, MoUs, Founders Committee Agreements, Creation of SPVs, Share/Asset Purchase Agreements and Due Diligence reports. Dr. El Borai benefits from a dense experience in establishing Funds in onshore and offshore jurisdictions, drafting and reviewing Prospectus/Private Placement Memorandum, Subscription Agreements, Administration Agreements, Custodian Agreements, Fund Management Agreements, Distribution Agreements, Fund Borrowing Agreements (credit facilities), Fund Compliance/Investment Committee Minutes and Resolutions.
